These Terms of Service ("Terms") govern access to and use of Reparo, a maintenance-management app for hospitality businesses, provided by Timothy Short trading as Ordo Operis (Australia) ("Reparo", "we", "us"), including the Reparo mobile app, web dashboard, and website at reparoapp.net (together, the "Service").
By creating an organisation account, or by using the Service as a staff member of an organisation that has one, you agree to these Terms on behalf of yourself and, if applicable, the business you represent. If you're a hotel guest submitting a maintenance report via a QR code, these Terms don't apply to you in the same way — see our Privacy Policy for how we handle guest reports.
Advisory guidance only — not legal, safety, or emergency advice: All labour-rule, working-time, roster, break, rest, overtime, under-18, public-holiday, qualification, leave, timesheet, payroll-export, AI-assistant, workplace-safety, duress-alert, lone-worker, incident-register, chemical-register, emergency-information, key-register, building-compliance, safety-check, maintenance, and SLA-timer features in Reparo are provided strictly as general advisory guidance, record-keeping, and convenience tools, and never constitute a monitored emergency service or legal, industrial-relations, payroll, employment, tax, workplace health and safety (WHS/OHS), fire-safety, or building-code advice or certification. Every organisation and entity must independently check, know, and comply with all applicable local, state, federal, and national laws, industrial awards, collective or enterprise agreements, employment contracts, and safety and building regulations in its jurisdiction, and consult a qualified local adviser or licensed inspector when in doubt.
1. Eligibility and accounts
You must be at least 18 years old, and have the authority to bind your business, to create an organisation account. An organisation may give staff accounts to workers under 18 who are legally allowed to work where they are; the organisation is responsible for doing so lawfully. You're responsible for keeping your login credentials secure and for all activity under your account. Tell us immediately at support@reparoapp.net if you suspect unauthorised access.
2. Plans, free trial, and billing
New organisations get a 14-day free trial with full access to live features (reporting issues, guest reports, stocktakes, orders). After the trial, you'll need an active paid plan to keep using those features — your account and configuration (buildings, rooms, team, schedules) aren't deleted or locked, but live actions are gated until you activate a plan.
Current published plans:
| Plan | Price | For |
|---|---|---|
| Basic | $29/month | A single small property |
| Pro | $59/month | Growing teams, multiple buildings |
| Enterprise | $99/month | Larger portfolios |
Prices are charged in the currency shown at checkout (plus any applicable taxes such as GST or VAT), or as agreed in writing for a custom plan. Subscriptions are billed in advance on a recurring monthly basis via our payment processor, Stripe, and renew automatically until cancelled. Reparo doesn't process or store your card details — Stripe does, under its own terms. We may change plan pricing from time to time; if we do, we'll give you reasonable notice before it applies to your next billing cycle.
On native mobile apps (iOS/Android), plan purchases and billing management are completed on our website, not inside the app.
Free or complimentary access
We may, at our discretion, grant free or discounted access via a redemption code (e.g. at a conference or as part of a promotion). Codes may have a maximum number of uses, an expiry date, and a limited grant duration after which your organisation reverts to no active plan unless you subscribe. We may revoke a code at any time; revoking a code doesn't retroactively remove access already granted to organisations that redeemed it before revocation.
3. Cancellation and refunds
You can cancel your subscription at any time through the billing portal in the Reparo web app at reparoapp.net (Settings → Billing & Subscription → Manage Billing; plans can't be bought, changed or cancelled inside the iOS or Android apps), which is hosted by Stripe. Cancellation takes effect when Stripe processes it, at which point access to live features is gated the same way it is at the end of a free trial — your data and configuration aren't deleted.
Fees already paid are non-refundable, except where required by law (including the Australian Consumer Law) or where we change these Terms as described in "Changes to these Terms". We don't provide partial refunds or credits for unused time in a billing period when you cancel mid-cycle.
4. Changing or downgrading your plan
Some features (e.g. dashboard trend charts, per-role dashboard widget configuration, analytics CSV export, assigning a vendor to an issue) require a Pro plan or higher. If you downgrade, those features become inaccessible, but no data is deleted — reactivating a qualifying plan restores access to it.
5. Suspension and termination
We may suspend or terminate an organisation's access if a payment fails and isn't resolved, if we reasonably believe these Terms or our Privacy Policy have been violated, if the Service is being used unlawfully or abusively, or if required by law. Where practical, we'll try to notify you first or explain why afterward. You can request deletion of your account and data at any time by contacting support@reparoapp.net — see the "Data retention and deletion" section of our Privacy Policy for how that request is handled.
You can delete your own account at any time in the app (Account or Profile → Delete account; instructions at reparoapp.net/delete-account). If you're an organisation's only owner, you can hand the organisation to another member first, or delete the whole organisation — which deletes every member's account and cancels its subscription immediately. Fees already paid are handled as described in section 3.
Your organisation's owner can download a full export of its data at any time, whether or not you're ending your subscription: in the app, Account → Your data → Download data (a JSON file; passwords, PINs and security codes aren't included). You can also ask support@reparoapp.net for one.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or in a way that infringes anyone else's rights;
- Attempt to circumvent rate limits, security controls, or access data belonging to another organisation;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where the law gives you the right to do so;
- Interfere with or disrupt the Service, or introduce malware or harmful code;
- Resell or provide the Service to third parties outside your own organisation without our written consent.
7. Your content and data
You (your organisation) own the data you put into Reparo — issue reports, photos, team and property information, and everything else you or your staff create. You grant us a licence to host, process, and display that data solely to provide the Service to you, as described in our Privacy Policy. We don't claim ownership of your content, and we don't use it to train any third-party AI model or sell it to anyone.
You're responsible for the content your organisation's staff submit, and for having the rights to any photos or information you upload.
Staff personal information. Where we process personal information about your staff or guests on your behalf, you are the controller of that information and we process it under our Data Processing Addendum, which forms part of these Terms. You're responsible for having a lawful basis to collect and use it (including dates of birth and pay rates you choose to enter) and for telling your staff how it's used — our Privacy Policy can help with that.
Files and storage. Files that are no longer attached to anything in your account (for example an upload that was never saved, or a photo removed from a job) are deleted automatically, usually within about a week. Reparo support may delete a file you still use only where it's needed — at your request, to meet a legal obligation, or to remove content that breaks these Terms — and it's recorded in your organisation's activity log.
Support conversations. Messages and screenshots your staff send Reparo support are between them and us, and are kept and deleted as described in our Privacy Policy.
8. Rostering, labour-law, workplace-safety, building-compliance, and integration features
Reparo's roster can check shifts against working-time rules — such as breaks, rest between shifts, weekly hours, days in a row, limits for workers under 18, notice periods and public holidays — based on where each building is, and against rules your organisation adds itself. The owner can turn these checks off at any time in the Labour Rules screen. All such features, rules, warnings, blocks, calculations, and suggestions are strictly advisory only and never legal, employment, industrial-relations, or payroll advice. By using the Service, you agree that:
- They are advisory guidance only, not legal advice. The rules are compiled from public sources and simplified for general reference. We aim to re-check each location's rules against their sources at least every 180 days and show when each was last checked, with a "Review due" notice while a re-check is outstanding — but this is a goal, not a guarantee, and the rules may be incomplete, out of date, or not suited to your circumstances at any time. Except where a specific rule cites an award (such as selected baseline rules from the Australian Hospitality Industry (General) Award 2020), the built-in rules do not include industrial awards, collective or enterprise agreements, employment contracts, state or local young-worker rules, or employer-size and salary exemptions unless you add them yourself. Check the Labour Rules screen for each building to see which rules are included.
- Every entity must independently check and know its local laws. Your organisation remains solely and exclusively responsible for knowing, verifying, and complying with all local, state, federal, and national employment, working-time, child-employment, wage, tax, superannuation/pension, record-keeping, and workplace health and safety laws, and with all industrial awards, collective agreements, and employment contracts that apply to your business and staff. Reparo is not a law firm, is not your employer or your staff's employer, and is not a party to any employment relationship.
- You must check the location and settings. Reparo infers each building's country and region from its timezone; you're responsible for confirming it is correct and for any rules, company size, employment types, dates of birth and other information you enter.
- Overrides are your organisation's decision and risk. The owner decides which roles may schedule, claim, swap or approve shifts that break a rule. By allowing any role to do so, or by replacing a legal rule with your own, your organisation accepts all risk and responsibility for the consequences, including fines, penalties, back-pay and claims by staff or regulators. Reparo records these acceptances and each override.
- Records are provided as-is. Reparo's roster, confirmation and override records may help you show how decisions were made, but we don't guarantee they satisfy any legal record-keeping requirement.
- Timesheets and leave are records to help you pay people, not payroll. Clock times, breaks, timesheet flags, leave balances and accruals are only as accurate as what's entered and the settings you choose. You're responsible for checking them, for what you pay, and for any award or agreement rules (such as rounding, penalty rates or leave entitlements) they don't apply.
- Location checks are your decision. If you require staff to be at the building to clock in, you're responsible for telling them first and for complying with workplace-surveillance and privacy laws, which in some places require written notice before tracking. GPS isn't exact, so give staff another way to record hours.
- Suggestions are suggestions. Tools like Fill for me, Find cover, suggested people, minimum-staffing gaps, housekeeping demand, budgets and the fairness view suggest; your managers decide.
- The roster assistant is optional and uses AI. If your owner turns it on, roster details are sent to Anthropic to answer managers' questions (see our Privacy Policy). Its answers can be wrong or incomplete; it only proposes changes, and your managers are responsible for checking and applying them. Turning it on is your organisation's choice and authorises that processing.
- Payroll exports and locked pay periods are a convenience. You're responsible for checking exported hours and pay categories before paying anyone, for matching them to your payroll system, and for keeping the payroll IDs you enter correct.
- Qualifications are your records. Reparo uses the qualifications and expiry dates you enter to warn and to stop staff picking up shifts they aren't recorded as qualified for; it doesn't verify certificates, and you remain responsible for checking them.
- Public holiday data comes from a third-party data set (date-holidays, CC BY 3.0) and may contain errors.
If a rule looks wrong or out of date, tell us at support@reparoapp.net. While a "Review due" notice is shown, or a rule is under review, take particular care and rely on your own advice.
Workplace safety, duress alerts, lone-worker check-ins, building compliance, and integrations
- Duress alerts, lone-worker check-ins, and emergency tools are not emergency services or monitored alarms. Reparo does not contact police, ambulance, fire brigade, or any emergency service (such as 000, 112, 999, or 911), and is not a life-safety, personal-alarm, or 24/7 monitoring service. Duress alerts and missed lone-worker check-in notifications depend on internet connectivity, third-party push notification networks (Apple, Google, Expo), device settings, and your organisation having staff configured and available to receive and respond to alerts — delivery and response are never guaranteed and may be delayed or fail. Staff in danger must always contact local emergency services directly. Emergency information, fire-warden shift indicators, and emergency-call buttons are internal convenience aids only; your organisation is solely responsible for maintaining lawful emergency plans, evacuation procedures, lone-worker protections, and trained wardens for its jurisdiction.
- Safety registers, chemical SDS records, building compliance, and safety checks are internal records only, not certifications or legal/WHS advice. Reparo lets you log workplace incidents, near misses, and hazards (including risk scores and a prompt indicating when a serious incident "may need to be reported to the regulator"), keep a chemical register with links to Safety Data Sheets (SDS) and 5-year review reminders, track keys and access cards, store compliance documents, and set recurring check reminders (such as fire risk assessments, fire alarms, emergency lighting, extinguishers, gas safety, electrical testing, legionella, food hygiene, water temperature, first-aid kits, and fire drills), asset registers, verification rules, and SLA timers. All of these are internal record-keeping and reminder tools only — they are strictly advisory, never constitute a legal, regulatory, fire, gas, electrical, health, food-safety, hazardous-chemical, building-code, or workplace health and safety (WHS/OHS) inspection, certification, determination, or advice, and do not notify any regulator or verify that a check, control, or SDS is valid. Every organisation and entity must independently check, know, and comply with all applicable local WHS/OHS, incident-notification, site-preservation, chemical, building, fire, gas, electrical, health, and food-safety laws and use appropriately licensed professionals where required.
- API keys and outbound webhooks are your instruction and risk. If your organisation creates API keys or outbound webhooks (for example to connect a property management system), doing so is your instruction for Reparo to transmit and receive the relevant organisation data to and from those external systems. You are solely responsible for the security, privacy, and lawfulness of the external endpoints and systems you connect, and for keeping your API keys and webhook secrets confidential.
9. Service availability
We work to keep Reparo available and reliable, but we don't guarantee the Service will be uninterrupted, error-free, or available at all times. We may need to take the Service down temporarily for maintenance or updates.
10. Third-party services
Reparo relies on third-party providers to operate — Stripe for payments, Resend for email, Cloudflare for file storage, email routing and the guest-report bot check, Google for our support mailbox, Fly.io for hosting, Supabase for our database, Expo for app updates and push notifications, and (only if your owner turns on the optional roster assistant) Anthropic to answer roster questions. Your use of the Service is also subject to those providers' own terms where you interact with them directly (e.g. entering payment details on a Stripe-hosted page).
11. Disclaimers and limitation of liability
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. Reparo is a tool to help track and communicate maintenance work and to organise rosters — we're not responsible for the underlying maintenance, repairs, workplace safety, emergency response, building compliance, or physical safety conditions at your property, for your rostering and employment decisions or their compliance with the law, or for the accuracy of anything your staff or guests submit.
To the fullest extent permitted by law, neither party is liable to the other for any indirect, incidental, or consequential damages (such as lost profits or lost data), and each party's total aggregate liability to the other for all claims arising from or relating to these Terms, our Data Processing Addendum, or the Service (including any claim relating to labour-rule guidance, public holiday data, roster settings, workplace-safety or duress/lone-worker features, building-compliance reminders, or integrations) is limited to the greater of the amount your organisation paid us in the 12 months before the claim arose or A$1,000. This limit doesn't apply to your obligation to pay subscription fees, your indemnification obligations for third-party claims under section 12, or either party's liability for fraud, wilful misconduct, or anything else that can't lawfully be limited.
Australian Consumer Law. Our services come with guarantees that can't be excluded under the Australian Consumer Law, and nothing in these Terms excludes, restricts or modifies them. Where the law allows, our liability for failing to meet a consumer guarantee is limited to supplying the services again or paying the cost of having them supplied again. The same applies to equivalent non-excludable rights under the law of your country.
12. Indemnification
You agree to indemnify Reparo against claims by third parties (including your staff, guests, contractors, and regulators) to the extent they arise from your organisation's misuse of the Service, breach of these Terms, breach of law, or its rostering, working-hours, pay, labour-rule override, building-compliance, safety, or external integration decisions — except to the extent the claim was caused by our own breach of these Terms, negligence or wilful misconduct. We'll tell you promptly about any such claim and let you take part in handling it.
13. Governing law
These Terms are governed by the laws in force in Australia (and the State or Territory of Australia in which we are based), without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be handled in the courts of Australia, unless applicable law requires otherwise.
14. Changes to these Terms
We may update these Terms from time to time. For changes that materially reduce your rights or increase your obligations, we'll email your organisation's owner at least 30 days before they take effect; if you don't agree, you can cancel before then and we'll refund any fees you've prepaid for the period after the change. Other changes (such as clarifications, new features, or changes required by law) take effect when we post them, with the "Last updated" date above.
15. General terms
- Events beyond our control (force majeure). Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, such as natural disasters, power or internet outages, failures of third-party hosting or telecommunications networks, war, terrorism, strikes, or government actions.
- Assignment. You may not assign or transfer these Terms without our written consent, except to a successor buying all or substantially all of your business that agrees in writing to be bound by these Terms. We may assign or transfer these Terms (including to a company we incorporate to operate Reparo, or in connection with a restructure, merger, or sale of the Service) by posting updated Terms or notifying your organisation's owner.
- Severability and no waiver. If any part of these Terms is found unenforceable, that part will be enforced to the maximum extent permissible and the rest of these Terms will remain in full effect. Failing to enforce a right under these Terms does not waive that right.
- Entire agreement and survival. These Terms (together with our Privacy Policy and Data Processing Addendum) form the entire agreement between you and us regarding the Service. Sections 7, 8, 11, 12, 13, and 15 survive the termination or expiry of these Terms or your account.
